  1. Welcome

Welcome to Poppy Clark Business Operations (“PCBO”, “we”, “us”).

These terms apply to all clients who engage our services. By purchasing or using our services, you agree to these Terms.

  1. Definitions

“Services” means business operations, administrative, social media and digital support services provided by PCBO.

“Client” means the individuals or business purchasing services.

“Agreement” means these Terms & Conditions together with any proposal, invoice, or written confirmation.

  1. Using Our Service

Clients must be 18 years or older and provide accurate, complete and up to date information required for the delivery of our services.

  1. Scope of work

Only services explicitly outline in the agreed proposal, invoice or written confirmation are included. Any work outside the agreed scope:

-       Is not included in the Agreement.

-       Will require a new quote and written approval before commencing.

  1. Intellectual Property

All documents, systems, materials and content created by PCBO remain the property of PCBO until full payment is received. Upon full payment, ownership transfers to the Client unless otherwise agreed in writing.

  1. Payment Terms

-       All prices are in GBP unless otherwise stated.

-       Payment is due open order unless otherwise agreed in writing.

-       Accepted payment methods will be stated on the invoice.

-       Late payments may result in suspension of Services and may incur interest in accordance with applicable law.

  1. Refunds

-       Refunds may be considered within 30 days where applicable.

-       If the Client cancels after work has commenced, fees for work already completed remain payable.

-       Any outstanding payments remain due upon cancellation.

  1. Client responsibilities

Clients agree to:

-       Provide all required information in a timely manner.

-       Respond within a reasonable timeframe.

-       Acknowledge that delays caused by Client may affect timelines and are not the responsibility of PBCO.

  1. Confidentiality

All Client information is treated as confidential and will not be disclosed to third parties expect where required by law or with Client consent.

  1. Limitation of Liability

PCBO shall not be liable for any indirect, incidental, or consequential losses. No guarantees are made regarding specific results, growth, sales or reach.

Nothing in these Terms limits of excludes liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

  1. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of Scotland.

  1. Third party platforms

PCBO is not responsible for changes to third-party platforms, including but not limited to algorithms, software, pricing, or policies.  

  1. Changes

PCBO reserves the right to update these Terms & Conditions at any time. Clients will be notified of material changes via email where applicable. 

  1. Communication Boundaries

-       Business hours are Monday to Friday 9:00AM-6:00PM

-       Response times are typically within 12-24 hours.

-       Approved communication channels include email, WhatsApp, Zoom and where applicable, Facebook or Instagram until a formal business agreement is in place.

  1. No Employment Relationship

Nothing in the Agreement created an employment, partnership, or joint venture relationship. PCBO operates as an independent contractor.

  1. Non-Disparagement

Neither party shall make public statement intended to harm the reputation of the other.

  1. Data protection (GDPR)

PCBO complies with applicable data protection legislation, including GDPR. Client data is stored securely and Clients retain their legal rights regarding their personal data.

  1. Results Disclaimer

PCBO does not guarantee specific results, including growth, engagement, sales or revenue.

  1. Portfolio/marketing use.

PCBO may showcase completed work for portfolio or marketing purposes unless the Client opts out in writing.

  1. Exclusivity

PCBO may work with other clients, including competitors, unless exclusivity is agreed in writing.

  1. Retainers & Minimum Terms

-       Retainer agreements have a minimum commitment of one month unless otherwise stated.

-       Retainers may auto-renew unless cancelled in accordance with agreed notice terms.

-       Services may be paused subject to agreement; cancellations require termination and restart.

  1. VAT

-       All prices are quotes exclusive of VAT unless otherwise stated.

-       VAT will only be charged in PCBO becomes VAT registered, at which point VAT will be added at the applicable rate.
